Terms and Conditions

RxRoster is provided by Copraxis LLC ("Copraxis", "we", "us"). When you use RxRoster, you are contracting with Copraxis LLC. If you use RxRoster on behalf of an organization, you confirm you have authority to bind that organization to these terms; otherwise you confirm you are of legal age to enter into this agreement.

RxRoster is a manager-facing workspace for reviewing, validating, repairing, printing, and exporting staff schedules before publication. The Free plan runs in your browser with no account. RxRoster Pro adds cloud-saved schedules and publishing for a single scheduler account. Enterprise capabilities are scoped by contract.

We grant you a limited, non-exclusive, non-transferable right to use the service within your selected plan. You may not reverse engineer the service, resell or redistribute it, or circumvent plan limits or technical controls.

You must not misuse the service. This includes:

• Using the service for any unlawful purpose
• Fraud, spam, or deceptive activity
• Infringing intellectual property rights
• Interfering with the security or operation of the service, including introducing malware, probing or scanning systems, or scraping the service

Pro accounts authenticate with a one-time email sign-in link. You are responsible for maintaining the confidentiality of your account access and for all activity under your account. You must provide accurate information, including a valid email address, and keep it up to date.

Copraxis LLC retains all ownership of the service and its intellectual property, including software, documentation, and branding. Your schedule data remains yours. You grant us a limited license to host and process your content solely to provide the service to you.

Paid plans are sold through our online reseller, Paddle. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. Subscriptions renew at the interval you select (monthly or annual) until cancelled. When you cancel, you keep access until the end of the paid period. See our Refund Policy.

We work to keep RxRoster available and reliable, but we do not guarantee uninterrupted or error-free performance. Features may change over time; the Free plan will remain available and account-free.

The service is provided "as is". To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose. RxRoster surfaces schedule warnings as a review aid; final responsibility for a published schedule remains with the manager.

To the fullest extent permitted by law, we are not liable for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Our aggregate liability is capped at the fees you paid in the 12 months before the claim. Nothing in these terms excludes liability for fraud, death, or personal injury where the law requires otherwise.

We may suspend or terminate access for material breach of these terms, non-payment, a security or fraud risk, or repeated or serious policy violations. When a Pro subscription ends, your cloud schedules remain readable in read-only mode; nothing is deleted automatically. You may export your schedules at any time while you have access.

These terms are governed by the laws of the state where Copraxis LLC is organized, without regard to conflict-of-law rules. You may not assign these terms without our consent; we may assign them in connection with a merger or acquisition. We are not liable for delays caused by events beyond our reasonable control. If any provision is unenforceable, the rest remain in effect.
